Please read these terms carefully before using DroadTech services. They include important information about TCPA compliance for AI calling.

Welcome to DroadTech. These Terms of Service ("Terms") govern your access to and use of the services provided by DroadTech LLC ("DroadTech," "we," "us," or "our"), including our website at droadtech.com and all related services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you may not use our Services.

2. Services Description

DroadTech provides AI-powered software and automation services, including but not limited to:

All services are provided on an "as is" and "as available" basis unless otherwise specified in a separate written agreement.

3. Account and Payment Terms

Setup Fees: One-time setup fees are due before work begins. Pricing is as listed on our website or as agreed in a written proposal.

Monthly Fees: Recurring monthly fees cover hosting, AI system usage, maintenance, and support. Monthly fees are billed in advance and are non-refundable.

Payment: We accept credit card and ACH payments. Invoices are due within 15 days of issuance. Late payments may result in service suspension.

Cancellation: You may cancel your monthly subscription at any time with 30 days' written notice. Setup fees are non-refundable.

Refunds: We offer a 30-day money-back guarantee on setup fees for qualifying services. See our guarantee terms for details.

4. Service Level and Delivery

Timeline: Standard packages (Starter, Growth) are delivered within 48 hours of design approval. Custom or Scale packages may take 5–7 business days. Timelines are estimates and may vary based on client responsiveness.

Revisions: We include unlimited design revisions until you approve the final design. After approval, additional changes may incur fees.

Client Responsibilities: You must provide timely feedback, required assets (logos, photos, content), and access to necessary accounts (domain, hosting, Google Business Profile) to meet delivery timelines.

5. Intellectual Property

Your Content: You retain all rights to your business name, logo, content, and data. You grant us a limited license to use these solely to deliver the Services.

Our Work: Upon full payment, you receive a license to use the deliverables we create for you (websites, code, designs) for your business purposes. We retain the right to use generic components, frameworks, and methodologies across other projects.

Third-Party Tools: Services may integrate with third-party platforms (GoHighLevel, Vapi, OpenAI, etc.). Your use of these platforms is subject to their respective terms of service.

6. Limitation of Liability

To the maximum extent permitted by law, DroadTech shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Services. Our total liability shall not exceed the total amount you paid us in the 12 months preceding the claim.

We do not guarantee specific results (e.g., number of leads, revenue increase). Results depend on many factors outside our control, including market conditions, your sales process, and competition.

7. Indemnification

You agree to indemnify and hold harmless DroadTech, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the Services, your violation of these Terms, or your violation of any third-party rights.

8. Governing Law

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Atlanta, Georgia.

9. Changes to Terms

We may modify these Terms at any time. Changes will be posted on this page with an updated "Last Updated" date. Your continued use of the Services after changes constitutes acceptance.

TCPA Compliance for AI Calling Services

Effective Date: June 25, 2026 | Applies to: AI Calling Agents and AI Receptionist Services

DroadTech's AI calling services are designed to comply with the Telephone Consumer Protection Act (TCPA), 47 U.S.C. § 227, and related FCC regulations. This section outlines our compliance practices and your obligations as a client.

10.1 FCC Ruling on AI-Generated Voices

On February 8, 2024, the FCC ruled that AI-generated voices in calls are "artificial or prerecorded voice" calls under the TCPA. This means all AI-generated voice calls require the same consent as traditional robocalls. DroadTech's systems are designed to comply with this ruling.

10.2 Consent Requirements

B2B Calls (Business Landlines): Calls to published business landlines for commercial purposes are generally exempt from prior express consent requirements under the TCPA. This is the primary method DroadTech AI callers use.

B2C Calls (Consumer Cell Phones): Calls to consumer cell phones using AI-generated voices require prior express written consent. DroadTech does not make AI calls to consumer cell phones without verified consent.

Client Responsibility: You are responsible for ensuring you have proper consent for any phone numbers you provide for AI calling campaigns. DroadTech provides DNC scrubbing tools, but final compliance responsibility rests with you.

10.3 Calling Hours

Our AI calling systems are configured to respect calling hours:

  • Federal standard: 8:00 AM to 9:00 PM local time of the called party
  • State restrictions: Our systems respect state-specific restrictions, including Sunday call bans in Pennsylvania, Massachusetts, Wisconsin, Illinois, and New York
  • Time zone handling: All calls are placed based on the recipient's local time zone

10.4 Required Disclosures

All AI calls made through our systems include:

  • Identification of the calling company at the beginning of the call
  • Contact information (phone number or website) provided during the call
  • Clear opt-out mechanism (e.g., "Press 9 to be removed from our list")
  • AI disclosure when required by state law

10.5 Do Not Call (DNC) Compliance

We maintain compliance with the National Do Not Call Registry:

  • All calling lists are scrubbed against the National DNC Registry every 31 days
  • Clients must maintain their own internal DNC lists and honor them
  • Opt-out requests are processed within 10 business days
  • Records of DNC requests are maintained for 5 years

10.6 Record Keeping

We maintain records of all AI calls for compliance purposes:

  • Call recordings and transcripts (retained per client agreement, minimum 4 years)
  • Consent records and documentation
  • DNC scrubbing logs
  • Opt-out requests and actions taken

10.7 Prohibited Uses

You may not use DroadTech's AI calling services for:

  • Calls to emergency numbers (911, hospitals, etc.)
  • Calls to numbers on the National DNC Registry without consent
  • Calls outside permitted hours
  • Deceptive or fraudulent purposes
  • Harassment or repeated unwanted calls to the same number
  • Calls to numbers obtained through illegal means

10.8 Liability and Indemnification for TCPA

You acknowledge that TCPA violations can result in statutory damages of $500–$1,500 per call. You agree to indemnify DroadTech against any TCPA claims arising from your use of our AI calling services, including claims related to:

  • Calling numbers without proper consent
  • Calling outside permitted hours
  • Failure to honor opt-out requests
  • Use of calling lists obtained unlawfully

DroadTech reserves the right to suspend or terminate AI calling services immediately if we believe you are using them in violation of the TCPA or these Terms.

10.9 Changes to TCPA Regulations

TCPA regulations may change. We will update our compliance practices and notify you of material changes. However, you are responsible for staying informed about applicable laws and ensuring your use of our services remains compliant.
